TICKET TERMS & CONDITIONS
England, The FA Cup Final, The FA Cup Semi Finals
This Ticket is issued subject to the Rules of The FA, UEFA and FIFA, the Ground Regulations of the Ground Owner (which are displayed at the Ground), The FA’s Conditions of ternationals, Issue for FA Match Tickets and The FA Ticket Refund Policy (together the “Terms and Conditions of Entry”) all of which are available on www.TheFA.com and which include:
1. In order to gain admission to the Ground a complete Ticket must be presented at the Match. A Ticket permits you to occupy, at the relevant Match, the seat indicated on that Ticket.
2. Any attempt to gain access to the Ground wearing the colours of a team other than the name of any team endorsed on the face of your Ticket may result in admission being refused and in such circumstances no refund or alternative seat will be offered.
3. You shall not bring into (or use within) the Ground any equipment which is capable of recording or transmitting (by digital or other means) any audio, visual or audio-visual material or any information or data in relation to a Match or any aspect of it. Mobile telephones are permitted within the Ground, provided that they are used for bona fide personal and A Ticket is issued for your sole use private use only.
4. and you shall not: (i) allow your Ticket to be used for any promotional purpose whatsoever; (ii) transfer, lend or sell your Ticket to any third party for use as part of a hospitality or travel package; or (iii) transfer your Ticket for payment or benefit in excess of the face value of the Ticket or in the course of any business, unless you have the prior written consent of The FA.
5. Any unauthorised use or transfer of a Ticket or any persistent breach of any of the Terms & Conditions of Entry shall render the Ticket void and all rights conferred or evidenced by it shall be nullified. This may result in the holder being ejected from the Ground and/or the cancellation or withdrawal of that Ticket. In the event of any such cancellation or withdrawal no refund shall be payable.
6. The FA will only issue refunds or exchange in accordance with The FA’s Ticket Refund Policy.
7. To the maximum extent permitted by law, The FA and Ground owner hereby exclude any liability for loss, injury or damage to persons/property in or around the Ground. Neither The FA nor the Ground owner shall be responsible for any interrupted and/or restricted view of the Match.
Note: CCTV surveillance is in operation. Bags are liable to be searched.
Carabao Cup Final
This Ticket is issued for the Match on behalf of The Football League Limited ("The League") in conjunction with Wembley National Stadium Limited (together the "Management"). This Ticket is subject to the Conditions of Issue published by The League, the Stadium Ground Regulations (as displayed at the Stadium and available on www.wembleystadium.com/events/), and the Conditions indicated on this Ticket. Purchase and possession of this Ticket as well as presentation of it to gain entry to the Match signifies agreement to the following Conditions:
1. No admission to the Stadium without a valid Ticket. A defaced, illegible, or incomplete Ticket may be invalidated. No re-admission if you leave the Stadium. The Management shall not be obliged to issue any replacement for a lost, stolen, illegible, defaced or destroyed Ticket.
2. No guarantees can be given by the Management that the Match will take place at the date and time indicated on this Ticket. The Management reserves the right to reschedule the Match without any liability whatsoever and to alter or change the programme or seating without prior notification and without refund or exchange of Ticket. Please see the Conditions of Issue in the event of the postponement or abandonment of the Match.
3. Admission to the Stadium is at the Ticket holder's own risk. The Management is not responsible for any property lost or stolen at the Stadium. The Management shall have no liability whatsoever to the Ticket holder for any loss damage or injury to person or property, except that the Management do not seek to exclude liability for death or personal injury caused by their negligence.
4. This Ticket cannot be used for commercial, advertising, or promotional purposes (e.g. hospitality packages, auctions, competitions) without the Management's prior written consent. Any Ticket offered for sale, re-sold or transferred in such a manner will become void, and the Ticket holder may be refused admission to or ejected from the Stadium without refund.
5. This Ticket may not be transferred by the original purchaser to a person unless each of the following criteria are met: (a) the transfer must take place in consideration of no payment or benefit in excess of the face value of the Ticket, (b) the transfer must not take place in the course of any business or for the purpose of facilitating any third party's business; (c) the transfer must be subject to these Conditions and the Stadium Ground Regulations, which will apply to the transferee as if he/she were the original purchaser (and the transfer or must inform the transferee of this); (d) the Ticket must be for the transferee's personal use only; (e) the transferor must provide the name and address of the transferee when asked to do so by the Management; and (f) the transferee is a natural person who is known to the original purchaser personally and who would be entitled to purchase a Ticket under these Conditions. Any transfer which does not meet the above criteria will render the Ticket void, and the Ticket holder may be refused admission to or ejected from the Stadium without refund.
6. You shall comply with all relevant statutes, safety announcements, rules and regulations (including, without limitation, the Stadium Ground Regulations, and the regulation of any licensing authority) while in the Stadium.
7. You shall not bring into (or use within) the Stadium any prohibited items, including but not limited to dangerous or hazardous items, illegal substances, weapons, bottles, glass vessels, cans, air horns, poles, umbrellas, or any article which may be used as a weapon or a missile, may compromise public safety and/or may pose a hazard or nuisance to any other person. Prohibited items may be confiscated.
8. You shall not bring into (or use within) the Stadium any sponsorship, promotional or marketing material, except for official club merchandise and/or other football related clothing worn in good faith, nor may you offer (either free or for sale by any person) any goods (including literature) of any nature.
9. You shall not bring into (or use within) the Stadium any equipment which is capable of recording or transmitting (by digital or other means) any audio, visual or audio-visual material or any information or data in relation to the Match or any aspect of it except for mobile phones and provided that they are used for personal and private purposes only. Prohibited items may be confiscated. Unauthorised photography or use of recording equipment is prohibited. As a condition of admission to the Stadium, you assign (by way of present assignment of future copyright) the copyright in any photographs, films, or recordings that you make at the Stadium in breach of this prohibition to the Management.
10. No alcohol is permitted to be brought into the Stadium. Smoking in any part of the Stadium is prohibited by law.
11. The Management reserve the right to search all persons and property at anytime and may refuse admission to or eject from the Stadium any person who refuses to be searched or who possesses prohibited items.
12. By using this Ticket to gain entry to the Stadium you warrant and represent that you are a supporter of the club whose name is endorsed upon the front of this Ticket.
13. The Management reserve the right to refuse you admission to or eject you from the Stadium for breach of Condition 12 above, any behaviour likely to cause damage, injury, nuisance, or annoyance or for failure to comply with the Conditions of Issue, the Stadium Ground Regulations, these Conditions, or the reasonable requests of the Management or for reasons of public safety.
14. You give your unconditional and irrevocable consent to the use, free of charge, of your voice and actual or simulated likeness in connection with the production, transmission, promotion and/or other exploitation of any film or sound recording of the Match (and/or any element of such film or sound recording) in any and all media throughout the world.
15. This Ticket and the copyright in this Ticket shall remain the property of the Management at all times.
16. You acknowledge that, by presenting this Ticket to gain entry to the Stadium, your name, and other personal details may be used for the purposes of the Stadium's access control system, and you consent to such use.
17. These Conditions shall be governed by and interpreted in accordance with English law, and you submit for all purposes in connection with these Conditions to the exclusive jurisdiction of the English courts.
If this Ticket is used in breach of these Conditions, it is void (and in such case, the Management reserve the right to cancel this Ticket and to retain any monies paid for it) and the Ticket holder may be refused admission to or ejected from the Stadium.
The Rugby Football League Challenge Cup Final
This Ticket is issued by RFL Ticketing which sells tickets on behalf of Super League (Europe) Limited (SLE) and The Rugby Football League Limited (RFL) and your contract is with the SLE or the RFL as relevant. The Stadium is owned and managed by Wembley National Stadium Limited (WNSL). The RFL, SLE and WNSL are together called "the Management". This Ticket is issued subject to the Terms and Conditions set out by RFL Ticketing and the Ground Regulations of Wembley Stadium (which are available at https://www.eticketing.co.uk/rle/staticpages/termsandconditions.aspx and www.wembleystadium.com/events/groundregulations) and which form part of the contract. The possession and use of this Ticket to enter the Stadium constitutes acceptance by the holder of the Terms and Conditions, the Ground Regulations and the following conditions and implies an undertaking on the part of the holder to observe them:
1. No admission to the Stadium without a valid Ticket. In the event of the loss or theft of any Ticket no duplicate will be issued. A defaced, illegible or incomplete Ticket may be invalid. No re-admission if you leave the Stadium.
2. This Ticket and the intellectual property in this Ticket (subject to WNSL’s rights in the logos, trademarks and imagery of and relating to Wembley stadium) remains the property of the RFL / SLE.
3. No guarantees can be given that the Match will take place at the date and time indicated on this Ticket. The Management reserves the right to reschedule the Match without any liability whatsoever and to alter or change the programme or seating without prior notification and without refund or exchange of Ticket. Please see the Terms and Conditions for RFL / SLE refund policy in the case of the postponement or abandonment of the Match.
4. Admission to the Stadium is at the Ticket holder’s own risk. The Management is not responsible for any property lost or stolen at the Stadium. The Management shall have no liability whatsoever to the Ticket holder for any loss, damage or injury to person or property, save that the Management do not seek to exclude liability for death or personal injury caused by their negligence.
5. This Ticket cannot be used for commercial, advertising or promotional purposes (e.g. hospitality packages, auctions, competitions) without the RFL’s or SLE’s prior written consent. Any Ticket offered for sale, re-sold or transferred in such a manner will become void, and the Ticket holder may be refused admission to or ejected from the Stadium without refund.
6. Unless valid prior written consent has been provided under Paragraph 5 above or otherwise by SLE or the RFL (as appropriate) this ticket may not be transferred by the original purchaser to a person unless each of the following criteria are met: (a) the transfer must take place in consideration of no payment or benefit in excess of the face value of the Ticket; (b) the transfer must not take place in the course of any business or for the purpose of facilitating any third party’s business; (c) the transfer must be subject to these conditions, the Terms and Conditions and the Stadium Ground Regulations, which will apply to the transferee as if he/she were the original purchaser (and the transferor must inform the transferee of this); (d) the Ticket must be for the transferee's personal use only; (e) the transferor must provide the name and address of the transferee when asked to do so by the Management; and (f) the transferee is a natural person who is known to the original purchaser personally and who would otherwise be entitled to purchase a Ticket. Any transfer which does not meet the above criteria will render the Ticket void, and the Ticket holder may be refused admission to or ejected from the Stadium without refund.

Prohibited items may be confiscated. Unauthorised photography or use of recording equipment is prohibited. As a condition of admission to the Stadium, you assign (by way of present assignment of future copyright) of the Management.

WEMBLEY STADIUM IS A PUBLIC TRANSPORT DESTINATION AND YOU ARE ENCOURAGED TO TRAVEL TO THE MATCH BY PUBLIC TRANSPORT. ONLY PRE-ACCREDITED VEHICLES WILL BE GIVEN ACCESS TO THE AREA ON EVENT DAYS.
Private Box Terms and Conditions
I agree, as for myself and for any person using the Private Box on the day of the Event, to comply with the following Terms and Conditions of use of the Private Box and Event Ticket(s) (Terms and Conditions) as a condition of my booking of the Private Box:
1. USE OF PRIVATE BOX
(a) Subject to any Law, Regulation and the Ground Regulations, access to the Stadium and occupation of the Private Box for the Event will be permitted for the Event specified in the Booking Form during such hours as are notified to the Licensee in writing or as published on WNSL’s website from time to time.
(b) Neither the Licensee nor any Licensee Party will be entitled to admission to the Stadium or the Private Box except on presentation at the designated entrance of an appropriate ticket for the Event and complying with such other checks on admission as WNSL may impose from time to time.
2. ACCESS
WNSL and its employees, agents or contractors have the right at any time to enter the Private Box including, without limitation:
(a) to confirm the Licensee’s and the Licensee Parties’ compliance with the terms of these Terms and Conditions including without limitation Condition 6 (Undertakings and Acknowledgements of the Licensee); and
(b) to carry out emergency repairs to the Private Box or any adjoining property of WNSL.
3. RESERVATION AND PAYMENT TERMS
(a) The Licensee agrees to pay the price specified in the Booking Form immediately on signature of the Booking Form. The Licensee acknowledges that the price payable for the Private Box is non-refundable except as otherwise provided in these Terms and Conditions.
(b) In addition to WNSL’s rights under Condition 13 (Default and Cancellation), WNSL reserves the right to cancel the Licensee’s Booking of the Private Box in the event that the signed Booking Form and full payment of the price specified in the Booking Form is not received by WNSL by the date specified in the Booking Form.
(c) The Licensee acknowledges that the Private Box may be licensed to a Club Wembley member. Where the Private Box is the subject of a Licence Agreement, the Licensee acknowledges that WNSL is facilitating the re-sale of the Private Box on the Club Wembley member’s behalf as per the terms of the Licence Agreement with the Club Wembley member. WNSL will deduct a 15% administration fee for WNSL’s services on behalf of the Club Wembley member from the payment received from the Licensee before paying the balance to the Club Wembley member.
4. CATERING
(a) Food and beverage services to the Private Box will be provided by the Stadium Caterer, at prevailing rates established by the Stadium Caterer, to be paid for solely by the Licensee as and when requested by the Stadium Caterer. Unless otherwise specified, the cost of catering and beverages is included in the price specified in the Booking Form for the Booking. The Licensee will liaise with the Stadium Caterer in connection with its specific catering requirements on the Event Day. WNSL will have no liability to the Licensee or any Licensee Party whatsoever in connection with the provision of any catering. Any complaints should be taken up directly with the Stadium Caterer on the Event Day.
(b) The Licensee will not and will procure that no Licensee Party will bring into, prepare or consume within the Stadium any food or beverages other than those purchased from the Stadium Caterer.
(c) The Licensee acknowledges that WNSL is under no obligation to sell or procure the sale of alcohol at the Stadium if WNSL is prevented from doing so by any Law, Regulation or the Ground Regulations.
(d) The Licensee acknowledges that the mini bar located in the Private Box is not available for use by the Licensee.
5. CAR PARKING AND TRANSPORT
Use of any Car Park space or complimentary train service by the Licensee and any Licensee Party is subject to any terms and conditions of use notified to the Licensee by WNSL or the relevant transport operator from time to time.
6. UNDERTAKINGS AND ACKNOWLEDGEMENTS OF THE LICENSEE
(a) The Licensee and each Licensee Party will comply with the Ground Regulations, will observe the terms and conditions upon which the Event Tickets are issued by the relevant Event Holder and will use the Private Box only for the purpose of viewing the Event and for the related hospitality and entertainment purposes for the Authorised Persons.
(b) The Licensee and each Licensee Party will comply with all laws, ordinances, orders, rules and regulations (whether statutory or otherwise and including health and safety requirements) governing the Stadium and the Private Box and the use thereof while attending the Event (Laws) and will not permit any violation thereof.
(c) The Licensee and each Licensee Party will not behave in a threatening or abusive manner while using the Private Box or when otherwise in or in the vicinity of the Stadium. The Licensee will be held responsible for its and any Licensee Party’s actions including, but not limited to, actions arising from the consumption of alcoholic beverages.
(d) The Licensee acknowledges that standing to view the Event may restrict the view of other spectators and cause safety and security risks and the Licensee and each Licensee Party will remain seated in accordance with the Ground Regulations.
(e) The Licensee acknowledges that within the Private Boxes and the Club Wembley Concourse, fans supporting the Participating Teams in football matches are not segregated and that the Licensee and each Licensee Party will behave responsibly accordingly. If so notified before the Event by WNSL (having acted pursuant to a requirement of the police or the local licensing authority), the Licensee and each Licensee Party will not be permitted to wear the team colours of any Participating Team if to do so might create a safety and/or security risk. The Licensee acknowledges that the Licensee and each Licensee Party may be moved within, or ejected from, the Stadium if they wear any team colours and WNSL reasonably believes this might create a safety and/or security risk.
(f) The Licensee and each Licensee Party will not bring into the Stadium any prohibited articles, including without limitation, any flammable, toxic, illegal or other hazardous substances, materials or equipment. A list of articles which cannot be brought into the Stadium is available on www.wembleystadium.com.
(g) The Licensee and each Licensee Party will not sell or offer for sale the Private Box, any event Ticket or any Car Park pass or any other item or benefit provided to the Licensee pursuant to its Booking of the Private Boxes.
(h) The Licensee and each Licensee Party will not bring into the Stadium and/or the Private Box any cameras or audio or visual or data broadcasting or recording equipment of any kind without the prior written consent of WNSL and the Licensee and each Licensee Party will not broadcast or record from the Private Box or the Stadium all or any part of the Event by any means or technology nor exploit the same. For the avoidance of doubt, a Licensee or Licensee Party acting in breach of this provision will be liable to be ejected from the Stadium and to deliver up any tapes, films, disks or other recordings or data, the copyright of which is acknowledged as belonging to WNSL or the relevant Event Holder.
(i) The Licensee and each Licensee Party will not use any cellular telephones or other forms of analogue or digital communication to the extent that this interferes with any equipment or installation operated by or on behalf of WNSL or the Event Holder within the Stadium including, without limitation, the Private Box.
(j) The Licensee acknowledges and consents to the recording of its and each Licensee Party’s likeness and/or voice and that WNSL and the relevant Event Holder is entitled to use all rights in respect of such recordings.
(k) The Licensee acknowledges that CCTV is in operation at the Stadium and that its and each Licensee Party’s image may be recorded and kept for security purposes.
(l) The Licensee and each Licensee Party will not sell or offer for sale any product or service from any part of the Stadium including, without limitation, the Private Box.
(m) The Licensee and each Licensee Party will not carry out any gambling or betting activities in the Stadium except via WNSL’s official bookmaker.
(n) The Licensee and each Licensee Party will not use as a gift or prize in any external promotion or external competition or auction off or otherwise seek to profit from any Event Ticket, Car Park pass or other item or benefit provided to the Licensee or release any publicity or make any public statements about any internal promotion or competition.
(o) The Licensee and each Licensee Party will not run any advertisements or promotions relating to or involving in any way WNSL, the Event Holder, the Event, the Stadium, the use of the Private Box or Event Ticket(s).
(p) The Licensee will ensure that there will be no signage or other advertising material visible from the exterior of the Private Box.
(q) The Licensee and each Licensee Party will not exploit any marketing opportunities in relation to the use of the Private Box including, without limitation, any display of the Licensee's or any Licensee Party's corporate or business logo, trademark or trade name. The Licensee and each Licensee Party will comply with any additional marketing or advertising restrictions which may be imposed by the Event Holder in respect of the Event. For the avoidance of doubt, WNSL, the Event Holder and/or their commercial partners or sponsors may exercise marketing opportunities in relation to the Private Box for the purpose of, without limitation, the placing of marketing samples and/or other advertising materials.
(r) The Licensee and each Licensee Party will use all reasonable endeavours to leave the Private Box in the same condition it was found in at start of the Event, and will not damage the Private Box, its fixtures and fittings or any other property contained therein or otherwise at the Stadium. The Licensee and each Licensee Party will not make any additions or alterations to the interior or exterior of the Private Box or its fixtures and fittings or install, place or cause to be installed or placed any nails, hooks, tacks, screws or other devices into any part of the Private Box or its fixtures and fittings.
(s) The Licensee and each Licensee Party will not remove any item of property of WNSL, the Stadium Caterer or the original licensee from the Private Box.
(t) The Licensee and each Licensee Party will not bring or allow into the Corporate Box any heating, cooking or similar appliance or equipment except for catering equipment used by the Stadium Caterer.
(u) The Licensee and each Licensee Party will not consume alcohol in the Stadium in contravention of the Ground Regulations or any Regulation or Law.
(s) The Licensee and each Licensee Party will not remove any item of property of WNSL, the Stadium Caterer or the original Licensee from the Private Box.
The Licensee has entered into the above undertakings and acknowledgements for itself and on behalf of each Licensee Party, and the Licensee will procure the performance and compliance of the same by each Licensee Party.
If the Licensee or any Licensee Party fails to comply with any of the provisions of this Condition 6 (Undertakings and Acknowledgements of the Licensee), WNSL may at its sole discretion, and without prejudice to any of its other remedies, move the Licensee and/or any Licensee Party to a different location within the Stadium or eject the Licensee and/or any Licensee Party from the Stadium without any refund or compensation.
7. FORCE MAJEURE
(a) If, by reason of an Event of Force Majeure, a party to these Terms and Conditions is delayed in, or prevented from, performing any of the provisions of these Terms and Conditions (other than the payment of money), then such delay or non performance will not be deemed to be a breach of these Terms and Conditions and no loss or damage will be claimed by the other party by reason of the Event of Force Majeure.
(b) The expression an Event of Force Majeure means an event or circumstance or combination of events or circumstances beyond the reasonable control of the affected party including, without limitation, any of the following: act of God, governmental act, the enactment or change in interpretation of any law, regulation or directive having legally binding effect, the terms of any consent required to stage this Event at the Stadium and any action required to ensure compliance with Laws or the Ground Regulations or the Regulations, war, fire, flood, lightning, explosion, radiation or chemical contamination, accident, strike, lock-out, walk-out, industrial action of any kind, civil commotion, impact by any vehicle, vessel or aircraft, national calamity, riot, act of terrorism or any other event or condition which is beyond the reasonable control of the affected party which results in or causes the failure (including by delay) or inability by such party to perform any of its obligations under these Terms and Conditions, provided that industrial action taken by the employees of an affected party will not constitute an Event of Force Majeure save where such action is taken in the context of a nationwide non-industry specific industrial dispute.
8. DISCLAIMER OF LIABILITY
(a) These Terms and Conditions are subject to the provisions from time to time of the general safety certificate applying to the Stadium, the bye-laws, rules, regulations, orders, directions, codes of practice and other guidelines of the London Borough of Brent, the Metropolitan Police Service, the London Fire Brigade, the Football Licensing Authority, The FA, the Fédération Internationale de Football Association (FIFA), the Union des Associations Européennes de Football (UEFA), the European Commission and any other authority or organisation that has jurisdiction or authority in relation to the holding of Events at the Stadium from time to time (the Regulations). In the event of any conflict or inconsistency between the Regulations and these Terms and Conditions, the Regulations will prevail. WNSL will not be in breach of the Booking or these Terms and Conditions by reason of compliance with the Regulations.
(b) WNSL will not be liable for, and the Licensee will not assert any deductions, set-off or claim of any nature against WNSL for any act or omission of or any breach or default by any person other than WNSL (and then subject to the remainder of this Condition 8 including, without limitation, the Stadium Caterer or Event Holder or any transport operator.
(c) The Licensee will be bound by the terms and conditions established from time to time by WNSL or the Event Holder for cancellation, abandonment, postponement or replaying of the Event. Subject to Condition 8(d) and
(f) WNSL will have no liability to the Licensee or any Licensee Party on account of any such cancellation, abandonment, postponement or replay or other failure or deficiency in the conduct of such Event.
(d) The WNSL, its officers, employees, agents and contractors will not be liable or responsible for any loss, damage, or injury to the Licensee or any Licensee Party, or any property of the Licensee or any Licensee Party, resulting from any cause whatsoever, unless due to the negligence or the wilful misconduct of WNSL or of its officers, employees or agents.
(e) Subject to Condition 8(d), WNSL’s aggregate liability to the Licensee or any Licensee Party in connection with the Booking, whether in contract or tort (including negligence) or in any other way, will not exceed the price payable by the Licensee for the Booking pursuant to the Booking Form.
(f) Notwithstanding Conditions 8(d) and (e), WNSL does not seek to exclude or limit its liability for death or personal injury caused by its, its officers’, employees’ or agents’ negligence or for any fraud or willful misconduct.
(g) WNSL will not be liable to the Licensee or any Licensee Party whether in contract, tort or otherwise for any indirect, incidental, special or consequential loss or damage or for any loss of profit or revenue, loss of use, loss of business or contracts or loss of opportunity.
(h) If any services are not available for any reason beyond the reasonable control of WNSL no refund or part refund will be made of any amounts paid by the Licensee and WNSL will not otherwise be liable to the Licensee in such circumstance unless otherwise provided in these Terms and Conditions.
(i) WNSL will not be liable to the Licensee for the late delivery or non-delivery of any Event Tickets, Car Park pass or complimentary train tickets provided WNSL has posted the same within reasonable time of receipt by WNSL or otherwise made the items available prior to the Event.
(j) Nothing in these Terms and Conditions affects any statutory rights that the Licensee may have.
9 INDEMNITY AND INSURANCE
(a) The Licensee will indemnify WNSL and its affiliates and their respective officers, employees, agents and contractors against any liability, losses, claims, demands, costs and expenses, including, without limitation, legal and other professional fees, arising out of any personal injury or property damage caused by any act or omission of the Licensee or any Licensee Party.
(b) The Licensee will indemnify WNSL against:
(i) all legal fees and other professional fees and costs incurred by WNSL in the enforcement of these Terms and Conditions whether or not litigation is actually commenced and including any appeal proceedings
(ii) the cost of repair of any damage (other than ordi;nary wear and tear) to the Private Box or any property therein, the passageways, stairways, escalators and lifts giving access to the Private Box and any other part of the Stadium caused by any act or omission of the Licensee or any Licensee Party; and
(iii) the cost of replacing any item of property removed from the Private Box without WNSL’s consent and any additional cleaning of the Private Box which is necessary as a result of any act or omission of the Licensee
or any Licensee Party.
(c) The Licensee warrants that it has in place public liability insurance to cover its liabilities under this Condition 9 and that written evidence of the same will be provided to WNSL upon request.
10 AUTHORITY OF THE LICENSEE
(a) If the Licensee is not an individual, the Licensee will, if requested by WNSL, provide reasonable evidence of the Licensee’s power and authority to make the Booking.
(b) If the Licensee is not an individual, each individual making the Booking on behalf of the Licensee represents and warrants that he or she is duly authorised to make the Booking and agree to these Terms and Conditions on behalf of the Licensee and that these Terms and Conditions are binding upon the Licensee (and where the Licensee is an unincorporated joint venture or association or a partnership, each member or partner jointly and severally of such joint venture association or partnership) in accordance with its terms.
11 NO PROPERTY INTEREST CREATED
(a) The Booking does not grant exclusive possession of the whole or any part of the Private Box or the Stadium nor does it create any relationship of landlord and tenant.
(b) The Licensee is not by virtue of the Booking entitled to any charge over or interest in any property (including the Private Box, the Stadium or any part thereof) or funds of WNSL.
12 EXPIRATION OR EARLY CANCELLATION
(a) At the end of the Event, the Licensee will:
(i) at its own expense remove from the Private Box all items of property brought into the Private Box by the Licensee or any Licensee Party; and
(ii) all deliver to WNSL all keys to the Private Box and any cabinets, closets or other enclosures therein.
(b) Any property not removed from the Private Box in accordance with Condition 12(a)(i) by such time as WNSL notifies the Licensee will be deemed abandoned and may be disposed of by WNSL in its absolute discretion without incurring any liability to the Licensee or any Licensee Party. The Licensee will reimburse WNSL for the costs certified by WNSL to have been incurred by it in such disposal.
(c) Subject to this Condition 12, any obligations of the Licensee accruing prior to the end of the Event or earlier cancellation of the Booking will survive such expiration or cancellation, and the Licensee will promptly perform all such obligations whether or not the Event has finished or the Booking has been cancelled.
13 DEFAULT AND CANCELLATION
(a) WNSL may cancel the Booking by giving immediate written notice to the Licensee if:
(i) the Licensee fails to pay any sum due from the Licensee on time, and then fails to remedy the failure within the time (being not less than 7 days) stated in a written notice to the Licensee specifying the failure and requiring that it is remedied;
(ii) the Licensee breaches any other term of these Terms and Conditions, including, without limitation, any terms and conditions of an Event Holder and/or a relevant transport operator (if applicable);
(iii)(being an individual) a bankruptcy petition is presented against the Licensee, or the Licensee makes an application for an interim order under the Insolvency Act for the time being in force, or the Licensee enters into a voluntary arrangement or composition with its creditors;
(iv) (being a body corporate) the Licensee convenes a meeting with its creditors, or comes to any arrangement with them, or has a petition for winding up or an administration order presented against it, or passes a resolution for winding up or has a receiver or administrative receiver appointed over all or any part of its assets;
(v) (being a partnership) the Licensee is dissolved;
(vi) (the equivalent, in any country other than England and Wales, of any event specified in paragraphs (iii) to (v) of this Condition 13(a) occurs;(vii) (being an individual) the Licensee or any Licensee Party is or becomes an Excluded Person; or
(viii) (the Licensee or any Licensee Party commits any act or omission that, in the reasonable opinion of WNSL, is prejudicial to the interests of WNSL and then, (if the prejudice is capable of remedy) fails to remedy the prejudice within the time (being not less than 7 days) stated in a written notice to the Licensee specifying the act or omission, and specifying the prejudice and requiring that it is remedied.
(b) If, in the reasonable opinion of WNSL, the Licensee or any Licensee Party:
(i) causes any object to be dropped or thrown from the Private Box;
(ii) causes any disturbance or nuisance in the Stadium;
(iii) otherwise prejudices the safety or welfare of any person present in the Stadium;
(iv) contravenes any of the undertakings contained in Condition 6 (Undertakings and Acknowledgements of the Licensee) or the Ground Regulations or any applicable terms and conditions of an Event Holder; or
(v) makes any unauthorised sale or offer of the Private Box or any Event Ticket,
(vi) WNSL may:
a. refuse that person entry into the Stadium;
b. require that person to leave the Stadium; and/or
c. cancel the Booking by giving immediate written notice to the Licensee.
(c) Licensee fails to pay, when due, any sum due from it for the Booking (including any sum due to the Stadium Caterer), WNSL may refuse the Licensee and any Licensee Party entry into the Stadium or require any of those persons to leave the Stadium.
(d) If WNSL cancels the Booking under Condition 13(a) or (b), WNSL will be entitled to retain all sums paid by the Licensee for the Booking as compensation for loss and/or agreed or liquidated damages for breach of these Terms and Conditions and subsequent cancellation of the Booking.
(e) The rights and remedies of WNSL under this Condition 13 shall be in addition to any other right or remedy of WNSL under these Terms and Conditions or under the law or in equity.
14. SALE, ASSIGNMENT AND THIRD PARTY RIGHTS
(a) The Licensee will not sell, transfer, assign, cost-share, co-license, sub-license, pledge or otherwise encumber the Private Box, or any of the Licensee’s rights and obligations pursuant to the Booking and these Terms and Conditions, including, without limitation, the right to use an Event Ticket, without the prior written consent of WNSL. Any act in contravention of the foregoing will be null and void, will be a material breach giving rise to a right of cancellation for WNSL and may also constitute a criminal offence under section 166 of the Criminal Justice and Public Order Act 1994.
(b) A person who is not a party to these Terms and Conditions may not enforce any of their terms under the Contracts (Rights of Third Parties) Act 1999.
15. NOTICES
All notices, demands and other communications between the parties required or appropriate in relation to these Terms and Conditions will be in writing and deemed given if posted, postage prepaid, to the other party at their respective addresses set out on the Booking Form or to such other address as may be designated by either party, from time to time, in writing on the second business day after posting and if sent via e-mail, upon the generation of a receipt notice by the other party’s server, or if such notice is not so generated, upon receipt by the other party’s server.
16. ILLEGALITY
If a provision of these Terms and Conditions is or becomes illegal, invalid, or unenforceable in any jurisdiction that will not affect the validity or enforceability of, in that jurisdiction, any other provision of these Terms and Conditions, and in any other jurisdiction, that or any other provision of these Terms and Conditions.
17. CONFIDENTIALITY
The Licensee hereby undertakes not to disclose any of the terms of the Booking or any other information of a confidential nature communicated to the Licensee by WNSL.
18 ENTIRE AGREEMENT
The Booking Form and these Terms and Conditions contain the entire agreement with respect to the Booking, and will supersede any written instrument or oral agreement previously made or entered into with regard to the Private Box. The Licensee acknowledges that it has not relied on any representation, warranty or other assurance save for those set out in the Booking and these Terms and Conditions. The Licensee hereby waives all rights and remedies which, but for this Condition 18, might otherwise be available to it in respect of any such representation, warranty, collateral contract or other assurance provided that nothing in this Condition 18 will limit or exclude any liability for fraud or fraudulent misrepresentation.
19. AMENDMENTS AND WAIVERS
(a) WNSL reserves the right to amend or modify these Terms and Conditions at any time upon giving the Licensee not less than 14 days’ notice.
(b) No waiver by WNSL of any default or breach by the Licensee of these Terms and Conditions will be construed
to be a waiver or release of any other subsequent default or breach by the Licensee of these Terms and Conditions.
(c) No failure or delay by WNSL in the exercise of any remedy provided for in these Terms and Conditions or available in law or in equity will be construed a forfeiture or waiver thereof or of any other right or remedy available to WNSL.
20. GOVERNING LAW
These Terms and Conditions are governed by English law. The Licensee agrees that the courts of England have exclusive jurisdiction to settle any dispute arising in connection with the Booking and submits to the exclusive jurisdiction of the English courts.
21. PRIVATE BOX GLOSSARY
(a) In these Terms and Conditions the following terms have the following meanings:
Authorised Persons means the persons entitled to hold a ticket for a Private Box Seat;
Booking means the Licensee’s reservation and booking of the Private Box for the Event pursuant to the Booking Form;
Booking form means the form completed by the Licensee to book the Private Box for the Event;
Car Park means any area designated as a car park by WNSL for a Licensee to park a vehicle when attending the Event;
Club Wembley Concourse means the concourse around the middle tier of the Stadium which is for the use of Club Wembley members;
Event means the event which the Licensee wishes to attend pursuant to its booking of the Private Box;
Event Day means the day on which the Event is staged at the Stadium;
Event of Force Majeure has the meaning given to it in Condition 7 (Force Majeure);
Event Holder means any person who has contracted, from time to time, with WNSL to stage an Event at the Stadium;
Event Ticket means a ticket for a Private Box Seat for the Event;
Excluded Person means:
(i) any person from time to time banned by The FA from membership of the “englandfans” club or any successor or replacement official supporters club for the England senior men’s national football team;
(ii) any person from time to time subject to a football banning order pursuant to a conviction under The Football Disorder Act 2000;
(iii) any person known or reasonably believed by WNSL to have been convicted of an offence under section 166 of The Criminal Justice and Public Order Act 1994 (subject to review by WNSL in its reasonable discretion after such time as any such conviction is spent);
(iv) any other person from time to time known or reasonably believed by WNSL to have been banned, by The FA, the Football League, UEFA, FIFA, the Rugby Football League or otherwise, from travelling to or attending an association football or rugby league match; and
(v) any person know or reasonably believed by WNSL to have been engaged in the unauthorised sale of tickets for events at the Stadium;
FA means The Football Association Limited a company incorporated in England and Wales (Registered No. 77797);
Ground Regulations means the rules and regulations WNSL may establish from time to time concerning events at the Stadium which will be displayed in the Stadium or otherwise available on www.wembleystadium.com;
Laws has the meaning given to it in Condition 6 (Undertakings and Acknowledgements of the Licensee);
Licensee means the person or entity identified in the Booking as the hirer of the Private Box;
Licensee Party means any individual holding an Event Ticket issued to the Licensee or using a Private Box Seat pursuant to the Licensee’s rights, including an Authorised Person;
Participating Teams means the teams participating in a sporting Event;
Private Box means the booked Private Box at the Stadium including the related Private Box Seats;
Private Box Seats means all the related external seats belonging to and directly in front of the Private Box;
Regulations has the meaning given to it in Condition 8 (Disclaimer of Liability);
Stadium means Wembley Stadium, Wembley, London HA9 0WS;
Stadium Caterer means WNSL’s approved caterer including any concessionaires from time to time;
Terms and Conditions means these terms and conditions of the Booking.
(b) In these Terms and Conditions:
(i) the masculine gender shall include the feminine gender and neuter and the singular number shall include the plural and vice versa; and
(ii) a reference to a person is a reference to that person or such of its successors, assigns and transferees.
(c) The headings in these Terms and Conditions are for the purposes of convenience only and do not form part of and will not affect the construction of these Terms and Conditions.
(d) References in these Terms and Conditions to any statutory provisions shall be construed as references to those provisions as respectively amended, consolidated or re-enacted from time to time and will include any provisions of which they are consolidations or re-enactments (whether with or without amendment).
